1. The Parties
1.1 This agreement is between Easy Web Sites Ltd, registered in England, Company Number 6044877 whose registered office is at 186 Eaves Lane, Chorley, Lancashire, PR6 0AU, hereinafter known as the 'developers', and the client, hereinafter known as the 'client'.
2. Terms Of The Agreement
2.1 This agreement covers the website of the 'client', hereinafter known as the 'website'.
3. Domain Name
3.1 The cost of the domain name is included within the overall price quoted in the contract.
3.2 Additional domain names added to the 'client' package will incur an additional monthly fee.
3.3 The owner of the domain name shall be and continue to be the 'client'. The 'developers' claim no rights to the ownership of the domain name and will only be acting on behalf of the 'client' in making such payments as required to maintain ownership of the domain.
3.4 The 'developers' will be responsible for all administration associated with the ongoing maintenance of the domain name until termination of this contract.
3.5 The 'developers' reserve the right to charge an administration fee for any and all domain name transfers.
3.6 The 'client' shall be responsible for all administration tasks pertaining to their current domain name registration, prior to transfer to the 'developers', including all online, written and telephone correspondence, plus all activities that involve accessing their current domain name registration account via a username and password.
4. Copyright
4.1 The source code, all scripts, CSS and include files used on the 'website' remain the intellectual property of Easy Web Sites Ltd and may not be copied and used by any other party without the consent of Easy Web Sites Ltd.
4.2 All 'client' logos, images unique to the customer, for example of their premises, workforce and business, plus all written copy, belong to the customer and are covered under their copyright.
4.3 It is the responsibility of the 'client' to seek relevant permission to use any brand logos or other corporate content on the 'website' of the 'client'. The developers accept no liability if permission is not obtained.
4.4 'Library' and 'Stock' images purchased by the 'developers' are licensed solely to Easy Web Sites Ltd for use on websites built and managed by the 'developers'.
4.5 The 'developers' cannot supply copies of these images for use on the 'client's' marketing material.
4.6 'Library' and 'Stock' images purchased by the 'developers' cannot be used on a website after termination of this contract.
5. Hosting
5.1 The cost of hosting the 'website' is included within the overall price quoted in the contract.
5.2 Easy Web Sites Ltd use web servers provided by UK-based web hosting companies with an uptime performance of over 99.9%.
5.3 The 'developers' will not be liable for any downtime that may occur with the hosting of the 'website' and as such no compensation will be paid to the 'client' for any downtime or costs to their business arising from that downtime.
5.4 The 'developers' do not include the installation of SSL certificates as standard. This can be added as a separate item for an additional monthly fee. It will then be purchased, installed and maintained by the 'developers'.
6. Ongoing Maintenance And Updating
6.1 The 'developers' will design, maintain and update, within the terms of this agreement, the website of the 'client'.
6.2 The 'client' will have a number of hours per annum for support, with the actual amount being specified in the contract. These support hours are used for making changes or updating the existing 'website', for example changing images, text, training and retraining on how to use the CMS (Content Management System), addresses, telephone numbers and similar changes. Please note this support does not include adding additional pages or additional functionality.
6.3 The 'client' has the responsibility of informing the 'developers' of changes that need to be implemented on the 'website'. The developers will complete all requested changes within 7 days.
7. Search Engine Submission
7.1 The 'developers' will submit the 'website' to search engines such as Google.
7.2 The 'developers' will endeavour to ensure that the 'website' is constructed in such a manner that will return the 'website' on major search engines.
7.3 The 'developers' cannot guarantee a listing with any search engine and accept no liability for non-inclusion or poor ranking.
8. Google Analytics
8.1 The 'developers' will add Google Analytics code onto the website to enable the 'client' to analyse traffic to their website. Google Analytics is a free service offered by Google that tracks and reports website traffic. The 'developers' are not responsible for the accuracy of the data provided. Training on how to use Google Analytics is not included.
9. Email Boxes
9.1 The 'developers' will supply mailboxes to the 'client' with 2GB of data as standard. There is an upgrade available to 50GB which incurs an additional monthly charge.
9.2 Email boxes will be protected with anti-virus and anti-spam as provided by the email provider used by the 'developers'. The developers cannot accept responsibility for any spam or viruses that the 'client' receives as anti-virus and anti-spam protection cannot be 100% guaranteed.
9.3 The 'developers' do not accept responsibility for any loss of emails during the domain transfer process. We recommend that you download and back up all emails before transferring your domain name to us.
9.4 The 'developers' support the setting up of IMAP email addresses on Windows PCs and laptops using remote access software such as TeamViewer. This allows the 'developers' to remotely access the client device to set up the email address in a mail client such as Microsoft Outlook. If the 'client' does not have a mail client installed on their device then the 'developers' will download and install a mail client such as Mozilla Thunderbird, a free and open-source cross-platform email client.
9.5 The 'developers' will provide all the information required, including username, password and server settings, by text and email to enable email addresses to be set up on mobile devices such as mobile phones and tablets. The 'developers' will also provide additional information in the form of a step-by-step guide on how to set up email addresses on an iPhone and iPad, and links to YouTube videos for setting up other models of mobile phone and tablet.
10. Costs And Payment Terms
10.1 All quoted prices are exempt of VAT.
10.2 The 'client' shall pay to the 'developers' the agreed monthly fee, per calendar month, payable on the first day of each calendar month by Direct Debit using GoCardless, the nominated Direct Debit provider of the 'developers'. Payment for the monthly management fee will be due on the first day of the month.
10.3 All invoices will be paid by Direct Debit through GoCardless. Invoices will be raised on the 1st of the month following completion of any work and charged on the 15th of the same month.
10.4 An annual schedule of payments corresponding to the monthly fee, paid by Direct Debit, will be provided to the 'client' on request.
10.5 The developer reserves the right to decline to do additional work, updates on the 'website' or provide email support if there are invoices outstanding with the client, or if there is no Direct Debit mandate in place.
10.6 The developer reserves the right to remove the 'website' and email services if there is no active Direct Debit mandate in place.
10.7 The developer reserves the right to charge a fee to reinstate both the website and email if these were suspended due to non-payment.
11. Web Browsers
11.1 The 'developers' will make every effort to ensure that the 'client' website is designed to be viewed by the majority of visitors using a web browser. The 'developers' websites are designed to work with the most popular web browsers, for example Google Chrome and Microsoft Edge. The 'client' agrees that the 'developers' cannot guarantee correct functionality with all web browsers across different operating systems.
11.2 The 'developers' cannot accept responsibility for websites which do not display correctly in new versions of web browsers released after the website has been designed and handed over to the 'client'. As such, the 'developers' reserve the right to quote for any additional work involved in changing the website design or website code for it to work with new or updated browser versions.
12. Additional Expenses
12.1 The 'client' agrees to reimburse Easy Web Sites Ltd for any additional expenses incurred during the development of the 'website', for example the purchase of special fonts, stock photography and similar items.
13. Price Increases
13.1 The 'developers' reserve the right to increase the prices contained in section 10 of this agreement.
13.2 Prices will be reviewed on the first of January each year and any proposed increases will be notified to the 'client' with three months' written notice.
13.3 The 'developers' guarantee not to increase prices in the first 12 months of this contract.
14. Advertising
14.1 The 'developers' shall be allowed to place an email address or a link to the website of the 'developers' to advertise their services. This will appear on all pages in the footer and normally use the text 'design by Easy Web Sites Ltd'.
15. Domain Transfer Costs
15.1 The 'client' shall be liable for any administration costs associated with the transfer of domain names to the hosting company chosen by the 'developers'. These are normally paid direct to the existing hosting or domain name registration company used by the 'client'.
16. Search Engine Optimisation
16.1 The 'developers' cannot guarantee that search engine returns will improve as a result of search engine optimisation campaigns.
16.2 The Search Engine Optimisation campaign is based on a minimum period of activity which is agreed by the 'client' and the 'developer'.
16.3 In all cases, in the event of cancellation by the 'client', the full value of any contract entered into will fall payable from the 'client' to the 'developer'.
17. Google My Business
17.1 The 'client' agrees to pay the 'developers' an additional monthly fee, at the current published rate, to add a new Google My Business listing or manage an existing Google My Business listing on behalf of the 'client'.
17.2 The 'developers' will update the Google My Business listing of the 'client' with the following information:
- company name
- business category
- address and post code
- service areas
- opening hours
- phone number(s)
- website link
- services
- up to 6 images
- company description (maximum 750 words)
18. Termination
18.1 This agreement can be terminated by either party with three months' notice in writing but shall not be less than 12 months from the date of the initial payment.
18.2 If you are moving away from Easy Web Sites Ltd within the first twelve months of the contract, you will need to settle the outstanding balance prior to us releasing the domain name. This will be calculated on the number of payments remaining to complete the twelve-month contract multiplied by the current monthly payment.
